TERMS OF SERVICE

These Terms of Service ("Agreement") constitute a legally binding agreement between you ("User") and GrowthLock ("Company"), governing your access to and use of GrowthLock’s services, including but not limited to GrowthLaunch, GrowthEvolution, and GrowthAscention (collectively, the "Services"). By accessing, using, or registering for the Services, you affirm that you have read, understood, and agreed to be bound by the terms and conditions set forth herein. If you do not agree to these terms, you must immediately cease using the Services.

1. Definitions

"Company," "we," "us," and "our" refer to GrowthLock and its affiliates, successors, and assigns.

"User," "you," and "your" refer to the individual or entity registering for and using the Services.

"Subscription Services" refer to GrowthLock’s coaching, consulting, and software-as-a-service (SaaS) platform offerings.

"Funding Facilitation" refers to GrowthLock’s role in identifying and presenting funding opportunities but does not constitute a guarantee of funding approval.

"Platform" refers to GrowthLock’s proprietary web-based and mobile application-based technology solutions, including the L.O.C.K. Platform and SaaS Funding Platform.

2. User Responsibilities & Acceptable Use

By accessing and using GrowthLock’s Services, you agree to:

Provide and maintain accurate, complete, and updated business and personal information. Maintain the confidentiality of login credentials and notify the Company immediately of any unauthorized account access or security breach. Actively engage in coaching sessions and implement recommended strategies in good faith. Refrain from engaging in prohibited activities, including but not limited to: Engaging in fraudulent, deceptive, or unlawful conduct; Attempting to gain unauthorized access to any portion of the Platform; Introducing malware, spamming, or misusing the Platform in any manner; Using the Services for purposes outside the scope of the Agreement. Failure to adhere to these responsibilities may result in suspension or termination of access to the Services, with no entitlement to a refund.

3. Scope of Services

GrowthLock provides the following: Business Coaching & Consulting through GrowthLaunch, GrowthEvolution, and GrowthAscention. SaaS Platform Access enabling users to leverage business funding analytics, strategic planning tools, and educational resources. Funding Facilitation services, which include funding assessments and introductions to third-party funding providers. GrowthLock does not provide direct loans, grants, or investments and does not guarantee funding approval or any financial outcomes.

4. Subscription, Payments & Refund Policy

4.1 Subscription Plans

Users must select and purchase a subscription plan (monthly or annual) to access the Services. A non-refundable setup fee is required upon enrollment.

4.2 Auto-Renewal & Cancellation

Subscriptions automatically renew unless canceled by the User at least thirty (30) days prior to the next billing cycle. Cancellation requests must be submitted in writing via the Platform or customer support. Subscription fees paid are non-refundable, and no prorated refunds will be issued upon cancellation.

4.3 Payment Failures

The Company reserves the right to suspend or terminate Services due to failed payments. If payment is unsuccessful, the Company may attempt to reprocess the transaction before suspending the User’s access to the Services. Unresolved balances may be referred to collections, and Users may be responsible for any associated costs or legal fees incurred.

5. Privacy & Data Collection

By using the Services, you consent to the collection, storage, processing, and use of your personal and business information in accordance with our Privacy Policy. The Company collects business financial data, funding application details, and platform usage analytics. The Company may share User information with third-party funding providers for funding facilitation purposes. The Company may use anonymized, aggregated data for research, service enhancement, and marketing initiatives.

6. Disclaimers & Limitation of Liability

6.1 No Guarantee of Outcomes

The Company makes no representations or warranties regarding the success of Users in securing funding, improving business performance, or achieving any specific financial results. Coaching services are provided as general business guidance and do not constitute legal, financial, or tax advice.

6.2 Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied. The Company does not warrant that the Services will be uninterrupted, error-free, or perfectly suited to the User’s business needs.

6.3 Limitation of Liability

The Company shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, data, or profits. The Company’s total liability for any claim arising under this Agreement shall not exceed the total fees paid by the User in the twelve (12) months preceding the claim.

7. Termination & Suspension

The Company reserves the right to: Terminate any User’s access to the Services upon thirty (30) days' written notice for any reason. Suspend or terminate access immediately upon discovery of a material breach of these Terms, non-payment, or misuse of the Platform. No refunds shall be issued upon termination or suspension of Services.

8. Intellectual Property Rights

The Company retains all rights, title, and interest in its proprietary software, platform content, and business methodologies. Users shall not reproduce, distribute, modify, or create derivative works from GrowthLock’s intellectual property without prior written consent.

9. Dispute Resolution & Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State], without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in [City, State], with each party bearing its respective costs. Users waive any right to participate in class-action lawsuits or consolidated legal proceedings against the Company.

10. Modifications to Terms

The Company reserves the right to modify these Terms at any time, with notice provided via email or Platform updates. Continued use of the Services after any modifications constitutes acceptance of the revised Terms.
